Legal draft

InteliFix Server licence terms

Draft business-only self-hosted software licence. Pending professional legal review and commercial approval.

1. Draft status, supplier and business-only purchase

LEGAL DRAFT / PENDING PROFESSIONAL LEGAL REVIEW. This version is for development and Sandbox checkout rehearsal only. It is not an approved offer or a binding commercial customer agreement. Live Server sales must remain disabled until the terms and contracting details are approved.

InteliFix is a trading name used by Comtrics. The precise contracting legal entity, service address, registration details where applicable, and contact arrangements must be verified and provided before commercial orders are accepted. No company status or registration number is asserted by this draft.

InteliFix Server is offered for business use only. The purchaser must be acting wholly or mainly for purposes relating to their trade, business, craft or profession and have authority to bind the named business. This declaration does not remove any rights that apply by law if the purchaser is in fact a consumer. Consumer purchasing is not supported by this checkout.

2. Order, payment and applicable terms

The approved order will identify the purchaser, licensed version, authorised deployment, permitted user and branch limits, price, included maintenance period and any agreed additional services. The intended launch price is GBP 995, VAT included, with 12 months of updates and support. A payment receipt is not by itself evidence that additional deployments or services have been purchased.

These product terms govern Server licensing in addition to the Website Terms. They do not govern InteliFix Cloud subscriptions, which have separate Cloud terms. Any agreed order-specific variation must be recorded in writing. Final commercial terms, supplier details and order-acceptance procedure require approval before live sale.

3. Licence grant and purchased version

Subject to payment and compliance with the approved agreement, the intended grant is a non-exclusive, non-transferable licence for the named business to use the purchased InteliFix Server version for its own internal business operations. Ownership of the software and intellectual property is not transferred.

The licence to the purchased version is perpetual unless lawfully terminated under these terms. Versions supplied as entitled updates may continue to be used within the same licence scope. Expiry or non-renewal of optional maintenance alone does not end the licence, disable the installed licensed version or require purchase of a subscription. Third-party components remain subject to their applicable licences.

4. One authorised deployment and permitted copies

The licence authorises one production deployment bound to the installation identity and domain recorded in the licence. Staff, branch and feature allowances are those stated in the approved order and licence; they do not authorise additional independent production installations or redistribution to customers.

Reasonable backup copies necessary for lawful use are permitted and must be secured. A backup is not permission to run a second live production system. Obtain written approval for an additional staging or disaster-recovery environment or a server/domain transfer, except to the extent applicable law permits otherwise. A replacement deployment must not leave two independent production deployments operating under one licence.

5. Protected or encoded application files

Server may be supplied as protected or encoded application files, rather than editable application source code. The approved package specification must identify the protection format, required loader and compatible runtime versions. Do not assume every development package is already encoded or approved for commercial distribution.

Keep licence and copyright notices intact. Customer data, exports and customer-created content remain the customer's responsibility and are not claimed as InteliFix intellectual property. Encoding is not a substitute for securing the server, protecting credentials or backing up business data.

6. Restrictions and rights preserved by law

Except as expressly authorised in writing or permitted by applicable law, do not resell, sublicense, rent, distribute or publicly expose the application files; copy them for unlicensed deployments; bypass activation or feature limits; remove protection; or modify, disassemble, decompile or reverse engineer protected application code.

These restrictions do not prohibit acts that cannot lawfully be restricted, including qualifying necessary backups, observation or testing, or decompilation for interoperability where the relevant statutory conditions are satisfied. Nothing in this draft overrides mandatory legal rights or third-party open-source licence permissions.

7. Activation and installation identity

A valid licence and activation for the authorised deployment are required. The intended activation workflow supports a signed offline activation document bound to the installation; an offline request does not create an additional licence. Follow the supplied activation and recovery instructions and retain the licence evidence securely.

Provide accurate business and installation details. Changes to the server, domain or installation identity may require an approved transfer or reactivation. Activation information must be limited to what is necessary to issue and verify the licence and described in the applicable privacy information. This draft does not promise an online activation service or a revocation capability that has not been implemented.

8. Updates and optional maintenance

The intended initial licence includes 12 months of eligible updates and support from the supply date recorded in the order. Optional maintenance is intended to cost GBP 249 per year, VAT included, thereafter, subject to the renewal offer then agreed. Renewal is not compulsory and is not automatically charged without a separate authorised arrangement.

If maintenance is not renewed, the installed licensed version continues operating, but entitlement to later releases and ongoing support ends. No indefinite security-update or compatibility commitment is made. Back up and test before installing updates; customer-uploaded packages are not deployed automatically. New major products, bespoke work and third-party charges are not included unless expressly agreed.

9. Support scope

Included support concerns the supplied InteliFix application on the supported configuration. Provide reproducible fault details and reasonable diagnostic information, removing unnecessary customer data and secrets. Access to customer infrastructure must be separately authorised.

Hosting administration, hardware repair, unsupported modifications, third-party integrations, data recovery, training, migration and bespoke development are not included unless agreed in the order. Support channels, service hours, supported versions and any response targets must be confirmed before commercial launch; no 24-hour support or guaranteed resolution time is promised by this draft.

10. System requirements and customer infrastructure

The customer must check the release-specific system requirements before purchase and maintain compatible server resources, operating system, PHP/runtime and extensions, database, web server, HTTPS certificate, storage, permissions and any required encoding loader. The final supported configuration must accompany the approved package; development environments are not a compatibility warranty.

The customer is responsible for hosting, patching its infrastructure, access controls, lawful data processing, network and email configuration, payment-provider accounts, reliable backups, restore testing and business continuity. Do not expose private files, licence documents, backups or credentials through the web server. Do not install a release on a production server without an appropriate backup and recovery plan.

11. Cancellation and change-of-mind refunds

Business purchasers do not receive a contractual consumer-style 14-day cooling-off period under this draft. Contact InteliFix promptly before supply or activation if you wish to cancel; the applicable order and any work already authorised must be reviewed.

After digital supply or licence activation, a business change-of-mind refund will not normally be available. This is not a no-refunds-under-any-circumstances rule. It does not exclude a remedy required by law, a remedy for breach of the approved agreement, or a refund expressly agreed in writing. Maintenance cancellation and any refund are assessed under the applicable maintenance agreement; Server rules do not apply to Cloud subscriptions.

12. Faulty or non-conforming software and remedies

Report a material failure to conform to the agreed specification, with reasonable evidence. InteliFix should have a reasonable opportunity to investigate and offer an appropriate correction, replacement or other agreed remedy. If the issue cannot be remedied, the parties must consider the remedies available under the contract and applicable law, which may include a price reduction, termination or refund where required.

Nothing excludes or restricts rights or remedies that cannot lawfully be excluded or restricted. A business-use declaration does not waive consumer protections if they apply in fact. Any future consumer checkout and consumer digital-content remedies require separately reviewed terms and workflow; this B2B checkout does not obtain or purport to obtain consent to loss of consumer cancellation rights.

13. Responsibility and liability

Each party remains responsible for its obligations under the approved agreement and applicable law. No exclusion or cap in another document should be read as excluding liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

Any proposed commercial limits, exclusions or allocation of loss must be specifically settled and reviewed for enforceability and reasonableness before launch. This draft does not impose an unapproved blanket liability exclusion or invent a financial liability cap.

14. Termination, agreed refunds and revocation

The final agreement should permit termination for material breach following written notice and a reasonable opportunity to remedy where the breach is capable of remedy, or where termination is otherwise permitted by law. Non-renewal of maintenance alone is not grounds to terminate a perpetual licence.

Where the licence purchase is lawfully rescinded or a full licence refund is agreed on termination, the licence ends and activation may be revoked through an authorised process where technically supported. The customer must stop using the terminated software and remove application copies, while retaining business records and any evidence required by law. A partial price reduction does not automatically terminate the licence unless agreed or legally required.

Revocation must not be used to erase customer business data or bypass lawful dispute and remedy processes. Offline installations may require a manual cessation and deactivation process; this wording does not claim an immediate remote kill switch.

15. Governing law, disputes and final approval

Proposed for legal review: the approved B2B agreement will be governed by the law of England and Wales, with disputes subject to the courts of England and Wales, except where mandatory law requires otherwise. The supplier's legal identity, location and intended customer territories must be checked before that choice is finalised.

Raise concerns using the published InteliFix contact details so the parties can first try to resolve them. A later terms revision must not silently rewrite the version accepted for an existing order. The final approved terms, requirements, maintenance scope and jurisdiction must be confirmed before any live commercial sale.
