Publication and legal review status
Owner-approved commercial wording, published at the proprietor's request. LEGAL DRAFT / PENDING PROFESSIONAL LEGAL REVIEW. No independent professional legal approval is represented. Live sales and customer activation remain disabled pending completion of the launch approvals.
1. Supplier and business use
Your contracting supplier is Peter Long, a sole trader trading as Comtrics and InteliFix, Business Connection, 145 Islingword Rd, Brighton, BN2 9SH, United Kingdom. Contact business@intelifix.uk for orders, support, cancellation, complaints and data requests. The supplier is not VAT registered; no VAT is charged.
Cloud is for business customers authorised to act for their business. A business declaration does not remove rights that apply in fact. These terms do not govern InteliFix Server, which has separate licence, activation and maintenance terms.
2. Order and contract formation
An order is an offer for the displayed plan, total price, billing interval and requested workspace name. Review-only requests are not subscriptions or authority to charge. Address and staff approval checks precede checkout. The point of acceptance is activation of the workspace following independently verified payment, with confirmation through the order progress page or email. If an order cannot be accepted, the supplier will explain and arrange repayment of payment taken for the unavailable service.
Customers must check their details, recurring amount and terms version before submitting. A return from checkout alone is not proof of payment or activation. Accepted version, document fingerprint, timestamp and order linkage are retained; later wording must not silently replace that evidence. Material order changes require fresh acceptance.
3. Price and recurring payment
Approved total prices are Solo GBP 29 monthly or GBP 290 annually; Workshop GBP 49 monthly or GBP 490 annually; Business GBP 99 monthly or GBP 990 annually. No VAT is charged or added. No setup fee. Optional assisted onboarding available by separate agreement, not preselected. The selected order freezes the amount and billing interval.
Subscriptions are prepaid and renew automatically for the chosen monthly or annual period until cancelled. The customer authorises the schedule shown at checkout. Square processes payments; customers must not send card numbers or security codes to support. An uncertain payment is investigated against its original order, not retried by creating another charge. Third-party provider or SMS fees incurred in the customer's own integrations are separate unless expressly included.
Notice for subscription price increases is at least 30 days before a renewal at the new price. A change does not affect an already-paid period; the customer can cancel before that renewal. Changes to billing interval and separately purchased services require agreement.
4. Hosted access and allowances
Cloud provides use of the hosted service for the paid period, not ownership of application code or a perpetual Server licence. Solo permits one staff account and one branch, Workshop five staff accounts and one branch, Business ten staff accounts and three branches. The owner counts as a staff account. Storage allowances are 10 GB, 50 GB and 100 GB respectively. Included features follow the confirmed package matrix; planned features are not sold as completed functionality.
The selected customername.intelifix.uk address is subject to availability, reserved system names and lawful use. It does not transfer ownership of intelifix.uk or grant resale rights. No uploaded software package is automatically approved for deployment.
Storage is limited. Dashboard usage and warnings identify the allowance. Further uploads may be blocked at an enforced limit; quota enforcement must not delete existing records. Additional capacity needs separate agreement. Downgrades must preserve records and suitable export access rather than silently discard data.
5. Cancellation and refunds
Cancellation channel: email business@intelifix.uk from the registered contact address, identifying the workspace and order, before the next scheduled renewal. Renewal times are assessed in UTC against the provider schedule. The supplier will acknowledge and process cancellation; a timely request remains effective if handled later, and an incorrectly collected subsequent renewal will be corrected or refunded.
Cancellation normally ends renewal at the end of the paid period, with paid access retained until then. It does not itself erase records or issue a refund. B2B change-of-mind policy: no proportionate refund for unused prepaid time unless agreed or required by law. This does not remove service-failure remedies, and Server activation/refund rules are not applied to Cloud.
Report material faults promptly with enough information to investigate. The supplier will investigate and seek an appropriate correction. If a material failure cannot be corrected within a reasonable time, an appropriate remedy may include credit, price reduction, cancellation or refund for affected or unused service, depending on circumstances and law. There is no exclusion of all refunds. Refunds are reconciled against the original order and original payment source where practicable.
6. Payment failure and restrictions
Unpaid, reversed or unverifiable renewal does not extend the paid period. The supplier will contact the registered address and, except for urgent security or legal reasons, give reasonable notice before restricting access. Restrictions should be proportionate and reviewed when the issue is resolved.
A failed payment is not authority for arbitrary deletion. Where lawful and safe, the supplier will assist with data return even after normal editing access ends. No unapproved grace period or automated destruction deadline is promised.
7. Support, maintenance and recovery
Support is by business@intelifix.uk, with reasonable assistance for faults and operation of the supplied service. No 24-hour support, fixed response time or uptime percentage is promised. Bespoke development, hardware assistance, training and migration require separate agreement unless included in the confirmed order.
The supplier must take reasonable care in operating, maintaining and securing the service, investigate reported faults and seek restoration within a reasonable time. Reasonable notice of planned material interruptions will be given where practicable; urgent security work may be immediate.
Cloud is not a standalone archival or backup product. Recovery arrangements do not carry an unverified promise of daily backups, a particular retention window, recovery point or recovery time. Customers should obtain written confirmation of business-critical requirements before ordering and keep appropriate exports and continuity plans. This does not waive the supplier's own duties.
8. Customer security and acceptable use
Customers must maintain accurate contact details, protect credentials, assign appropriate staff permissions and ensure lawful processing of uploaded information. They are responsible for authorised staff use and the relevance and accuracy of their records. Do not store full card details or unnecessary sensitive personal data. Handle necessary device-access information through protected facilities rather than unrestricted notes.
Do not use the service for unlawful content, malware, infringement, harassment, attacks, unauthorised access or evasion of package limits. Do not obtain another customer's records or resell protected software. Restrictions on copying or reverse engineering remain subject to applicable law. Report suspected exposure promptly without expanding access to investigate others' data.
9. Data-processing schedule
The customer retains its rights in its data. For repair-business personal data, the customer ordinarily acts as controller and the supplier as processor for hosting, storage, support, security, recovery and export during the subscription and agreed exit. Records may relate to customers, staff, contacts and suppliers and contain contact details, device/job information, correspondence, invoices, photos and authorised access details. Processing outside the agreed scope requires agreement. The supplier acts separately as controller for its own account, billing, fraud-prevention and legal records under its privacy notice.
The processor handles customer-controlled data only on documented lawful instructions, unless law requires otherwise, and informs the customer of a legal requirement where permitted. It warns about apparently unlawful instructions, restricts authorised access and requires confidentiality. Security measures must be appropriate to risk. Taking account of the service, it assists with individual-rights requests, security incidents, impact assessments and regulator enquiries, and notifies the customer without undue delay of an identified breach affecting their records.
Initial infrastructure sub-processor: IONOS. Its relevant contracting identity, processing location and transfer arrangements must be confirmed in the pre-activation service information. The processor remains responsible for its sub-processors' obligations and must arrange appropriate contracts. Before adding or replacing one, it will notify the customer and allow a reasonable opportunity for a substantiated objection and resolution, or ending affected service if no reasonable resolution is possible. Any restricted international transfer needs applicable safeguards.
The processor provides reasonable compliance information and permits proportionate audits or inspections, with arrangements protecting other customers and service security. Statutory rights are not reduced. These processing duties continue while it holds the customer's personal data. Confirm the hosting/sub-processor schedule and privacy notice before activation. Publication of these terms does not itself verify those operational arrangements.
10. Export, return and deletion
Customers should export records before the paid period ends or contact business@intelifix.uk to arrange return or deletion. The supplier will assist with reasonable return in a commonly usable format, excluding protected software, provider credentials and others' data. Unusual paid migration work must be agreed before charging.
At termination, personal data held as processor is returned or deleted at the customer's choice, except where law requires retention. A practical timetable and relevant backup-expiry arrangements must be communicated; indefinite free storage is not promised. Backup copies that cannot immediately be removed must be protected, put beyond ordinary use and removed through the applicable deletion cycle. Retained data must not be repurposed or the customer's choice silently overridden.
11. Changes, termination and responsibility
Material adverse changes require reasonable notice and explanation of any cancellation right. Changes cannot retrospectively rewrite an accepted order, remove accrued remedies or reduce a paid entitlement without an appropriate remedy. Either party may terminate for material breach not remedied after reasonable written notice and opportunity to correct, or where immediate action is reasonably necessary for serious security risk, unlawful use or legal obligations. Supplier discontinuation without customer breach requires reasonable notice, appropriate repayment for unused prepaid service and data return.
Each party remains responsible for its obligations and the care and skill required by law. Nothing excludes fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or liabilities and remedies that cannot lawfully be excluded. No blanket service-failure exclusion or arbitrary financial liability cap is introduced. Any additional limit needs specific legal and commercial review.
Governing law and forum: England and Wales and its courts, subject to mandatory law. Raise complaints first with business@intelifix.uk. The confirmed Cloud order and Cloud product/processing terms govern the subscription; Website Terms do not replace them and Server terms remain separate.
